Terms & Conditions

Last updated: 21 September 2026

These Terms & Conditions (the “Terms”) form a binding agreement between Javith Hansana, based in Sri Lanka, who operates VidStrata (“VidStrata”, “we” or “us”), and the business that creates an account or otherwise uses the service (the “Customer” or “you”).

The service is intended for businesses and professional use only. By creating an account, accepting an order, using an evaluation account, or accessing the service through our API, SDKs or dashboard, you confirm that you have authority to bind the Customer and that you accept these Terms. If you do not accept them, do not use the service.

1. Definitions

  • Service means VidStrata’s video ingest, transcoding, secure delivery, forensic watermarking, optional DRM protection, evidence-review tooling, analytics, APIs, SDKs, embed player and dashboards, as made available to you from time to time.
  • Content means the video, audio and related material and metadata you upload to or deliver through the Service.
  • End Viewer means any individual who watches Content delivered through the Service on your website, application or platform (each a Site).
  • Credentials means the API keys, shared secrets, tokens and dashboard logins issued for your account.
  • Forensic Watermark means the imperceptible, viewer-specific marks embedded in the picture and audio of watermarked Content, together with any visible on-screen viewer identifier displayed by the player.
  • Order means any written or electronic order, quotation, or onboarding confirmation that refers to these Terms.

2. The Service

We provide the Service in accordance with these Terms and the documentation we publish. We may improve, modify or discontinue features from time to time. If we make a change that materially reduces the core functionality you are paying for, we will give you reasonable advance notice. Pre-release or beta features are provided as-is and may be changed or withdrawn at any time.

3. Accounts, onboarding and Credentials

  • You must provide accurate registration and billing information and keep it up to date.
  • Credentials are confidential. They must be used only from your own servers and must never be embedded in browser code, mobile applications or public repositories. You are responsible for all activity carried out with your Credentials.
  • Tell us immediately at sales@javithhansana.lk if you suspect your Credentials have been compromised. We may rotate or disable Credentials at any time to protect the Service.
  • Access to the Service is granted per Site. You are responsible for ensuring that only Sites you own or are authorised to operate are connected to your account.
  • A one-time account setup fee may apply as described on our pricing page or in your Order.

4. Evaluation accounts

We may offer free or discounted evaluation accounts. Evaluation accounts are provided for testing your integration only, may be limited in volume or duration, may be withdrawn at any time, and are provided strictly as-is without any service commitment. Content stored in an evaluation account may be deleted when the evaluation ends.

5. Acceptable use

You must not, and must not permit anyone else to:

  • upload or deliver Content that you do not have the right to use, or that is unlawful, infringing, defamatory, obscene, or that exploits or endangers minors;
  • attempt to remove, obscure, alter, disable or circumvent any Forensic Watermark, visible overlay, DRM, access-control, entitlement or rate-limiting mechanism;
  • probe, scan or test the vulnerability of the Service, or attempt to access another customer’s data or Content;
  • reverse engineer, decompile or attempt to extract the source code, keys or algorithms of the Service or the player, except to the extent the law expressly permits despite this restriction;
  • use the Service to build a competing product, or resell or sublicense it except as agreed in an Order;
  • interfere with or place an unreasonable load on the Service, or use it to distribute malware or conduct abusive automated traffic;
  • use the Service in breach of applicable law, including export, sanctions, privacy and consumer-protection laws.

We may suspend the Service or remove Content that we reasonably believe breaches this section, threatens the security or integrity of the Service, or is the subject of a valid legal demand. Where practicable we will notify you and give you the chance to remedy the problem first.

6. Your Content and your responsibilities

  • You retain all rights in your Content. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transcode, watermark, encrypt, package and deliver the Content, and to create derivative renditions of it, solely to provide the Service to you and to comply with law.
  • You confirm that you own or have all necessary rights, licences and consents to upload and distribute the Content through the Service, and that doing so does not infringe any third-party right.
  • You are solely responsible for deciding who may watch your Content, for the entitlement decisions and identifiers your systems send to us, and for the accuracy of viewer identifiers you supply.
  • You are responsible for giving End Viewers all notices and obtaining all consents that applicable law requires in connection with playback telemetry, security logging, visible on-screen identifiers and forensic watermarking of the Content they watch.
  • Original files you upload are retained until you delete the Content through the API or dashboard. Deleting Content is permanent and cannot be undone.

7. Forensic watermarking and evidence review

Forensic watermarking is an optional feature that is selected for each piece of Content when it is uploaded and cannot be added to existing Content afterwards. You acknowledge and agree that:

  • when it is enabled, each viewing session receives a unique combination of visually identical variants of the Content, so that a leaked copy can be analysed and, where the analysis is conclusive, associated with the viewer identifier you supplied for that session;
  • the analysis is statistical. It can produce a result with a stated confidence, or an inconclusive result, and its success depends on how much of the original picture and audio survives in the leaked copy. Heavy cropping, very small on-screen capture windows, re-filming a screen with a camera, or severe re-encoding can make a result inconclusive. We do not guarantee that any particular leak will be identified;
  • evidence review is performed by VidStrata on request using the tools we provide. We do not take enforcement action against any End Viewer. Any decision to restrict, ban, report or pursue a viewer is yours alone, and you are responsible for acting lawfully and proportionately, including by reviewing the underlying material yourself before relying on it;
  • the results are technical evidence and not legal advice or a legal determination, and we make no representation as to their admissibility or weight in any proceeding;
  • the visible on-screen viewer identifier is a deterrent and a secondary indicator only. It can be removed or forged by a determined person and is never treated by us as sufficient on its own to identify a leaker.

8. DRM protection

Where DRM protection is available and enabled for your account, it is delivered using third-party licensing technology. Availability depends on device, browser and operating-system support. DRM and watermarking deter and help trace unauthorised copying, but no technical measure can prevent every form of capture, and we do not warrant that Content cannot be copied.

9. Fees, billing and payment

  • The Service is billed on a usage basis. Billable usage may include content ingest and transcoding (by hour of source video, with a separate rate for forensic-watermarked Content), storage (including the original files you upload and every stored rendition, for as long as the Content exists), playback sessions, minutes streamed, forensic-watermarked playback sessions, DRM-protected playback, and a forensic evidence review whenever you request one. Current rates are published on our pricing page or set out in your Order.
  • Estimates produced by the pricing calculator on our website are illustrative only. Your invoice is based on the usage actually recorded by the Service.
  • Unless your Order says otherwise, we invoice monthly in arrears in United States dollars. Invoices are payable within the period stated on the invoice. Fees are exclusive of taxes, duties, bank charges and withholding, which are your responsibility except for taxes on our net income.
  • If you dispute an invoice, tell us in good faith and in writing within thirty (30) days of the invoice date, pay the undisputed part on time, and we will work with you to resolve the dispute promptly.
  • If an undisputed amount is overdue, we may, after giving you written notice, charge interest at the lower of 1.5% per month or the maximum rate allowed by law, and suspend the Service until the balance is paid.
  • We may change our rates on at least thirty (30) days’ written notice. Changes apply from the next billing period. Fees already paid, including the account setup fee, are non-refundable except where the law requires otherwise.

10. Availability and support

We use commercially reasonable efforts to keep the Service available and to provide support by email. Planned maintenance, third-party outages, and events outside our reasonable control may affect availability. No uptime commitment, service credit or response-time commitment applies unless it is stated in a written Order signed by us.

11. Data protection and security

  • Our Privacy Policy explains how we handle personal data.
  • For personal data of End Viewers that we process on your behalf, you are the controller (or equivalent) and we act as your processor. We will process that data only on your documented instructions as reflected in these Terms, your Orders and your use of the Service, and as required by law.
  • We maintain technical and organisational measures designed to protect personal data and Content against unauthorised access, loss and alteration, including encryption in transit, access controls and activity logging. No system is completely secure, and you are responsible for the security of your own systems and Credentials.
  • We will notify you without undue delay after becoming aware of a personal data breach affecting your data, and give you the information reasonably needed to meet your own obligations.
  • We use third-party infrastructure and service providers to run the Service and remain responsible for their handling of personal data on our behalf. A data processing addendum is available on request.

12. Confidentiality

Each party will keep the other’s non-public information (including, for us, Credentials, watermark keys and code tables, and the internal workings of the Service) confidential, use it only to perform or receive the Service, and disclose it only to personnel and advisers who need to know and are bound by equivalent duties, or where the law requires it (after giving prompt notice where lawful). These duties survive for three (3) years after the agreement ends and, for trade secrets and watermark keys, for as long as they remain confidential.

13. Intellectual property

VidStrata and its licensors own the Service, the player, the SDKs, the watermarking technology, the documentation and all related intellectual property. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right during the term to use the Service, and to use the SDKs and embed player solely to integrate the Service with your Sites. You give us the right to use feedback you provide to improve the Service, and to compile aggregated and de-identified usage statistics that do not identify you or any End Viewer. Nothing in these Terms transfers ownership of either party’s intellectual property to the other.

14. Term, suspension and termination

  • These Terms start when you first accept them or use the Service and continue until terminated.
  • Either party may terminate on thirty (30) days’ written notice. Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within fifteen (15) days of notice (or immediately if it cannot be remedied), or becomes insolvent.
  • We may suspend the Service immediately where needed to prevent harm to the Service or third parties, to comply with law, or as set out in sections 5 and 9.
  • On termination your access ends and all fees for usage up to the termination date become due. You may export or delete your Content before termination. Unless we are legally required to keep it, we will delete your Content, and the associated watermark data, within ninety (90) days after termination or on your earlier written request. Copies in routine backups are deleted in the ordinary backup cycle.
  • Sections that by their nature should survive termination (including fees owed, confidentiality, intellectual property, disclaimers, liability, indemnity and governing law) will survive.

15. Warranties and disclaimers

Each party warrants that it has the authority to enter into these Terms. Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and any warranty that watermarking or DRM will prevent, detect or identify any particular misuse.

16. Limitation of liability

  • Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or wilful misconduct.
  • Subject to that, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, goodwill or anticipated savings, arising out of or in connection with these Terms, even if advised of the possibility.
  • Subject to the first point, each party’s total aggregate liability arising out of or in connection with these Terms is limited to the fees paid and payable by you for the Service in the three (3) months before the event first giving rise to the claim, or USD 100 if no fees were payable. This cap does not apply to your obligation to pay fees or to your indemnity in section 17.

17. Indemnity

You will defend and indemnify VidStrata, its officers, employees and contractors against third-party claims, and the resulting losses, damages, liabilities, costs and reasonable legal fees, arising from (a) your Content or its distribution, (b) your breach of section 5 or section 6, or (c) your use of watermarking results or evidence in taking action against any person. We will notify you promptly of any claim, let you control its defence and settlement (provided you do not admit fault on our behalf without consent), and give reasonable assistance at your cost.

18. Changes to these Terms

We may update these Terms from time to time. For changes that materially affect your rights or obligations we will give at least thirty (30) days’ notice by email to your account contact or through the dashboard. If you do not agree, you may terminate before the change takes effect; continued use afterwards means you accept the updated Terms. Orders that expressly override these Terms take precedence over them to the extent of any conflict.

19. General

  • Entire agreement. These Terms, your Orders, and the documents they reference are the entire agreement between us on their subject and replace all earlier discussions.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or to a successor to our business.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
  • Severability and waiver. If a provision is unenforceable, the rest remains in effect. Failing to enforce a provision is not a waiver of it.
  • Notices. Notices to us must be sent to sales@javithhansana.lk. We may send notices to the email address on your account or through the dashboard.
  • Relationship. The parties are independent contractors. These Terms create no partnership, agency or employment, and no third party has any right to enforce them.

20. Governing law and disputes

These Terms and any dispute arising out of or in connection with them are governed by the laws of Sri Lanka, without regard to conflict-of-law rules. The parties will first try in good faith to resolve any dispute by discussion for thirty (30) days after written notice of it. If it is not resolved, the courts of Sri Lanka sitting in Colombo have exclusive jurisdiction, except that either party may seek urgent injunctive relief to protect its confidential information or intellectual property in any competent court.
